Stylist Independent Contractor Agreement

This is the agreement you accept in the RefreshMe app when you sign up as a professional. Read it together with the Terms of Service and Privacy Policy.

1. Independent Contractor Status. You are an independent contractor, not an employee, partner, or agent of RefreshMe App LLC. You set your own schedule, use your own tools, and may work for other platforms.
2. Licensing. You hold a current, unrestricted cosmetology or barber license. You'll notify RefreshMe immediately if your license is suspended or revoked.
3. Platform Fee. RefreshMe retains a 10% platform fee from each completed booking, and you keep the remaining 90% of the service price. Customers pay the full service price in the app when they book, and collect nothing from them at the appointment. Depending on the payment method and how far ahead the booking is made, that payment may be held as an authorization and taken when the service is confirmed complete. Your payout is the full service price less the 10% platform fee, sent to your Stripe account once the booking is confirmed complete. Tips a customer adds in the app are paid to you in full; RefreshMe takes no share of tips (RefreshMe absorbs the card processing cost). There is no subscription or listing fee.
4. Your Responsibilities. You supply your own tools and products, provide services in a safe and sanitary manner, carry general and professional liability insurance, and if you do mobile service, carry auto insurance for business use.
5. Products You Sell. You may list physical products (for example hair care, accessories, or branded merchandise) for customers to buy in the app and pick up from you in person. For those sales you are the seller of record: you are responsible for the product, its description, its condition, any refund or exchange, and for collecting and remitting any sales tax that applies. RefreshMe retains a 10% platform fee on product sales and pays the remainder to your Stripe account. Nothing illegal, counterfeit, or requiring a license you don't hold may be listed.
6. Prohibited Conduct. No off-platform solicitation of RefreshMe customers for 12 months. No harassment, intoxication on the job, or weapons during services. No misrepresenting credentials.
7. Verification. You consent to identity and license verification via RefreshMe's verification providers. RefreshMe does not currently obtain consumer reports or run background checks on professionals.
8. Indemnification. You will indemnify RefreshMe for claims arising out of services you perform, including injuries, reactions, and property damage.
9. Limitation of Liability. RefreshMe's liability to you is capped at the platform fees retained in the prior 3 months.
10. Arbitration & Class Waiver. Disputes go to binding AAA arbitration conducted virtually or in the contractor's home state, under AAA's commercial arbitration rules. No class actions.
11. Governing Law. North Carolina, where RefreshMe App LLC is organized.
12. Taxes. You're responsible for your own self-employment taxes. RefreshMe issues 1099-NEC/1099-K as applicable.
13. Termination. Either party may terminate for any reason. Suspension is at RefreshMe's discretion for safety, fraud, license loss, or material breach.

You sign this agreement electronically under the federal ESIGN Act by confirming the acknowledgments in the app and typing your full legal name. The version you accepted is recorded with the date and the name you signed. Request a copy any time at admin@refreshmeapp.com.
