Section 1
Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and RefreshMe App LLC ("RefreshMe," "we," "us," or "our"), a North Carolina limited liability company. These Terms govern your access to and use of the RefreshMe mobile application, website, and related services (collectively, the "Platform").
By creating an account, downloading the app, or using any part of the Platform, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, do not use the Platform.
You must be at least 18 years old to use RefreshMe. By using the Platform, you represent that you are 18 or older.
Section 2
Nature of the Platform — We Are a Marketplace
RefreshMe is a technology platform that connects customers ("Clients") with independent beauty and style professionals ("Stylists"). RefreshMe is not a beauty service provider.
Stylists on the Platform are independent contractors, not employees, agents, or representatives of RefreshMe App LLC. RefreshMe does not:
- Employ, supervise, or control the work of any Stylist
- Set the prices, hours, or service standards of any Stylist
- Guarantee the quality, safety, or legality of services provided by any Stylist
- Act as an agent for any Stylist or Client in any transaction
The contractual relationship for beauty services is directly between the Client and the Stylist. RefreshMe facilitates the connection and payment but is not a party to that service agreement.
Section 3
Account Registration
To access most features of the Platform, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Keep your account credentials confidential and not share your password
- Notify us immediately of any unauthorized use of your account at admin@refreshmeapp.com
- Be responsible for all activity that occurs under your account
- Not create more than one account, or create an account on behalf of someone else without authorization
RefreshMe reserves the right to suspend or terminate accounts that contain false information, violate these Terms, or engage in fraudulent activity.
Section 4
Stylist Accounts & Independent Contractor Status
If you register as a Stylist on the Platform, you acknowledge and agree that:
- You are an independent contractor, not an employee of RefreshMe App LLC
- You are solely responsible for your own taxes, insurance, licensing, and compliance with applicable laws
- You hold all required professional licenses and permits to perform beauty services in your jurisdiction
- You set your own prices, hours, and availability on the Platform
- RefreshMe does not provide workers' compensation, unemployment benefits, or any employment benefits to Stylists
- You may work for other platforms, companies, or clients simultaneously
You agree to provide accurate information during the stylist verification process. Providing false information, including falsified licenses or identity documents, will result in immediate and permanent removal from the Platform.
Stylists who earn $600 or more in a calendar year through the Platform will receive a 1099-NEC form for tax reporting purposes. Stylists are responsible for all applicable self-employment taxes.
Section 5
Bookings & Appointments
When a Client books a Stylist through the Platform:
- The booking creates a direct service agreement between the Client and the Stylist
- Clients agree to be present and ready at the confirmed time and location
- Stylists agree to honor confirmed bookings or provide reasonable advance notice of cancellation
- Both parties agree to communicate through the Platform's messaging system for all booking-related matters
RefreshMe is not responsible for disputes arising from the provision (or failure to provide) beauty services, including but not limited to quality disputes, personal injury, or property damage.
Section 6
Payments & Fees
All payments on the Platform are processed securely through Stripe. By making or receiving payments through RefreshMe, you agree to Stripe's Terms of Service.
- Clients: The full service price is collected in the app at the time of booking. Nothing is paid to the Stylist at your appointment. Depending on your payment method and how far in advance you book, your payment may first be placed as an authorization — a hold that reserves the funds without taking them — and charged when your service is confirmed complete. A hold can appear on your statement in the same way a charge does. Pricing is set by the individual Stylist and displayed before confirmation.
- Professionals: RefreshMe retains a 10% platform fee from each completed booking, and the professional receives the remaining 90% of the service price. That 90% is paid out in full to the professional's Stripe account once the booking is confirmed complete, according to the applicable payout schedule. Professionals do not collect payment from clients in person.
- Tips: Customers may add optional in-app tips after completion. Professionals receive 100% of tips; RefreshMe takes no share and absorbs the card processing cost.
- No subscription: RefreshMe does not charge professionals a recurring monthly subscription to list their services.
RefreshMe reserves the right to adjust platform fees with reasonable advance notice.
Section 7
Cancellations & Refunds
Cancellation and refund policies are as follows:
- Clients may cancel free of charge up to 24 hours before the appointment. Where the payment is still being held as an authorization, the hold is released and no charge is ever taken; where it has already been charged, it is refunded in full
- Cancelling within 24 hours of the appointment retains 20% of the service price as a late-cancellation fee. The remaining 80% is released or refunded to you. Cancelling late never forfeits the full service price
- Where a Stylist cancels, the client is never charged a late-cancellation fee, whatever the notice given
- If the Stylist cancels, the Client is refunded in full regardless of timing
- Refunds for disputed transactions are handled on a case-by-case basis through our support team at admin@refreshmeapp.com
- RefreshMe is not obligated to issue refunds for services rendered by Stylists, as RefreshMe is not the service provider
- Fraudulent chargebacks or payment disputes submitted in bad faith may result in account suspension
Section 8
Prohibited Conduct
You agree not to use the Platform to:
- Conduct transactions or communicate outside the Platform to circumvent RefreshMe's payment system
- Harass, threaten, or discriminate against any user based on race, color, religion, sex, national origin, disability, or any other protected class
- Submit false, misleading, or fraudulent information, including fake reviews
- Impersonate any person or entity, or falsely represent your professional credentials
- Upload or transmit viruses, malware, or any code designed to disrupt the Platform
- Scrape, copy, or reverse-engineer any part of the Platform without written permission
- Use the Platform for any unlawful purpose or in violation of any applicable law
- Solicit other users off-platform for competing services after making initial contact through RefreshMe
Violations may result in immediate account suspension or termination without refund.
Section 9
Reviews & Content
Users may post ratings, reviews, photos, and other content ("User Content") on the Platform. By posting User Content, you grant RefreshMe a non-exclusive, royalty-free, worldwide license to display, distribute, and promote that content in connection with operating the Platform.
You agree not to post User Content that is:
- False, defamatory, or misleading
- Offensive, abusive, or harassing
- In violation of any third party's intellectual property rights
- In exchange for compensation (paid reviews)
RefreshMe reserves the right to remove any User Content that violates these Terms.
Section 10
Intellectual Property
The RefreshMe name, logo, app design, and all Platform content (excluding User Content) are the exclusive property of RefreshMe App LLC and are protected by copyright, trademark, and other intellectual property laws.
You may not reproduce, distribute, modify, or create derivative works from any RefreshMe content without our prior written consent.
Section 11
Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. REFRESHME DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES. WE DO NOT GUARANTEE THE ACCURACY, QUALITY, OR SUITABILITY OF ANY STYLIST OR SERVICE FOUND THROUGH THE PLATFORM.
Your use of the Platform and any services arranged through it is entirely at your own risk.
Section 12
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REFRESHME APP LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, PROPERTY DAMAGE, OR DISPUTES BETWEEN CLIENTS AND STYLISTS.
In no event shall RefreshMe's total liability to you for any claim exceed the amount you paid to RefreshMe in the twelve (12) months preceding the event giving rise to the claim.
Section 13
Indemnification
You agree to defend, indemnify, and hold harmless RefreshMe App LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of or inability to use the Platform
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Any services you provide or receive through the Platform
- Any User Content you post on the Platform
Section 14
Termination
RefreshMe reserves the right to suspend or permanently terminate your account at any time, with or without notice, for violations of these Terms or for any conduct we determine, in our sole discretion, to be harmful to the Platform, other users, or our business.
You may delete your account at any time by following the instructions in the app settings or contacting admin@refreshmeapp.com. Upon termination, your right to use the Platform ceases immediately. Sections 11, 12, 13, and 15 of these Terms survive termination.
Section 15
Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of North Carolina, where RefreshMe App LLC is organized, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or your use of the Platform shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration conducted virtually or in the user's home state, under the commercial arbitration rules of the American Arbitration Association (AAA). Each party will bear its own costs except where AAA rules or applicable law require otherwise.
By agreeing to these Terms, you waive your right to participate in a class action lawsuit or class-wide arbitration against RefreshMe.
Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.
Section 16
Changes to These Terms
RefreshMe reserves the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and may notify you via email or in-app notification.
Your continued use of the Platform after any changes constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Platform and delete your account.
